Terms of Service

a) Eligibility: You must be at least 18 years old to use or subscribe to the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

b) Account Security: You are responsible for maintaining the security and confidentiality of your account credentials and workspace data. FlintAI is not liable for any loss or damage arising from your failure to protect your login information.

c) Compliance: You agree to use the Services in compliance with all applicable local, state, national, and international laws and regulations.

d) Messaging Compliance: You must only use FlintAI’s messaging features for communications to recipients who have given valid, documented consent as required by law (e.g., TCPA, GDPR) and relevant carrier policies, including Twilio’s Messaging Policy.

a) Consent: By providing your phone number and opting in through a sign-up form, demo request, or client-specific chatbot interaction, you consent to receive informational and transactional messages from FlintAI and/or the client organization operating the agent.

b) Frequency and Rates: Message frequency may vary. Message and data rates may apply.

c) Opt-Out: You can revoke consent and opt out of receiving messages at any time by replying STOP to SMS or WhatsApp messages, or by contacting us at hello@useflint.ai.

You agree not to use, and not to permit any third party to use, the Services to:

a) Unlawful Activity: Send unsolicited, unlawful, harassing, defamatory, or fraudulent messages.

b) Sensitive Data: Collect or transmit sensitive personal data (e.g., protected health information, unencrypted financial information) without first ensuring full legal compliance and implementing adequate security measures.

c) Violate Rights: Violate any third-party intellectual property rights, privacy rights, or applicable messaging regulations.

d) Security: Circumvent, disable, or otherwise interfere with security-related features of the Services or engage in any abusive, disruptive, or harmful behavior.

e) Automated Use: Access the Services using automated means (such as robots, spiders, etc.) without our prior written consent.

a) FlintAI IP: All content, technology, software, and proprietary information used to provide the Services, including the AI platform itself, is the exclusive property of FlintAI (TECHQUARTER LLC). We grant you a limited, non-exclusive, non-transferable license to use the Services pursuant to these Terms.

b) Customer Content: You retain all ownership rights to the data, content, workspaces, knowledge bases, and configurations you upload, create, or distribute through the platform (“Customer Content”).

c) License to FlintAI: You grant FlintAI a worldwide, non-exclusive, royalty-free, transferable license to access, use, copy, and process the Customer Content solely for the purpose of providing, maintaining, and improving the Services and complying with these Terms.

a) Availability: We strive to provide reliable service but do not guarantee uninterrupted, error-free, or continuous availability. We may update or modify the platform at any time for performance, security, or legal compliance.

b) Termination by Customer: You may terminate your use of the Services at any time by notifying us and completing any required deactivation process.

c) Termination by FlintAI: We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms (especially Sections 2 and 4), fail to pay applicable fees, or violate any applicable law or regulation.

You agree to indemnify, defend, and hold harmless FlintAI, its affiliates, directors, agents, and employees from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

i) Your use of the Services, including any claim that your use violates any law or third-party right;

ii) Your breach of any representation, warranty, or covenant in these Terms; or

iii) The content and use of the Customer Content, including any lack of consent for messaging.

a) Disclaimer: FlintAI provides the Services “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

b) Limitation of Liability: To the maximum extent permitted by applicable law, FlintAI (TECHQUARTER LLC) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from your use of the Services, even if FlintAI has been advised of the possibility of such damages.

a) Governing Law: These Terms shall be governed by and construed in accordance with the laws of US, without regard to its conflict of law principles.

b) Dispute Resolution: Any dispute arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the competent courts in Cluj-Napoca, Romania.
